Storage Unit Contents Purchase Agreement

1. Property Being Purchased

This Storage Unit Contents Purchase Agreement ("Agreement") is entered into between Gary Rechis, acting as the owner or duly authorized representative of Valley Powder Coating Inc. ("Seller"), and Danny Jessop ("Buyer").

Seller agrees to sell, and Buyer agrees to purchase, all personal property and equipment currently located in Seller's designated storage unit at Prime Storage in Sandy, Utah, including machinery, tools, cabinets, carts, industrial equipment, supplies, furniture, and miscellaneous contents shown in the accompanying storage-unit photographs, except the excluded property identified in Section 2.

The exact storage facility address and unit number will be identified in the agreement form below.

2. Excluded Property

The following property is expressly excluded from the purchase and remains the property of Seller:

• All business, accounting, tax, and other records and files retained by Seller.
• The red children's car bed intended for Seller's grandson.
• Two (2) filing cabinets:
  • One spackled filing cabinet.
  • One additional upright filing cabinet selected by Seller.
• One (1) small table selected by Seller.
• One (1) bar stool from the light viewing station, selected by Seller.

Seller agrees to identify and remove all excluded property before Buyer's final cleanout, or coordinate its retrieval with Buyer within the agreed 14-day removal period.

All other contents of the designated storage unit, including equipment, tools, furniture, supplies, and miscellaneous items, are included in the $750.00 purchase price.

3. Purchase Price and Ownership

The total agreed purchase price for the included storage-unit contents is $750.00 USD.

Payment will be made by Buyer to Seller using a mutually agreed payment method.

Upon Seller's receipt of the full $750.00 payment, ownership and title to all included property transfer to Buyer.

Following payment, Seller relinquishes all ownership rights and claims to the included property. Buyer may remove, retain, use, resell, donate, or dispose of the purchased property at Buyer's discretion.

4. Storage Unit Access

Seller agrees to coordinate with Prime Storage to provide Buyer with authorized access to the designated storage unit for inspection, removal, loading, and transportation of the purchased contents.

Access must comply with Prime Storage's facility rules and rental agreement.

Seller remains responsible for the existing storage rental agreement and any associated rental obligations unless otherwise agreed in writing.

5. Removal Deadline and Cleanout

Buyer agrees to remove all purchased contents from the storage unit within 14 calendar days after both:

1. Seller has received the full $750.00 payment.
2. Buyer has been provided authorized access to the storage unit.

Buyer is responsible for the labor, equipment, transportation, and ordinary removal expenses associated with the purchased contents.

Buyer agrees to leave the unit broom-clean, except for excluded items awaiting retrieval by Seller.

6. Condition of Property

All included property is purchased AS IS, WHERE IS, in its present condition, without warranties or guarantees regarding operation, condition, completeness, or resale value, except as required by applicable law.

Buyer acknowledges having had an opportunity to inspect the contents and accepts responsibility for evaluating the equipment before purchase.

7. Seller's Ownership and Authority

Seller represents and warrants that Seller owns the included property or is duly authorized to sell it on behalf of its legal owner.

Seller further represents that the included property is free of undisclosed liens, security interests, or third-party ownership claims.

Seller agrees to reasonably cooperate with Buyer in completing the transfer and facilitating authorized removal.

8. Entire Agreement

This Agreement represents the entire understanding between Seller and Buyer regarding the purchase of the included storage-unit contents.

Any modifications must be agreed to in writing by both parties.

The parties agree to communicate in good faith regarding payment, access, removal, and retrieval of excluded property.

This Agreement shall be governed by the laws of the State of Utah.

9. Acknowledgment and Acceptance

By completing the agreement form below, the parties acknowledge that they have reviewed and understand the terms of this Storage Unit Contents Purchase Agreement.

The parties intend to enter into a binding purchase agreement upon acceptance by both Buyer and Seller.
